These Terms of Use govern your access and use of the Services offered by Karma Tab Holdings Limited ("Karma Tab", "we", "us", or "our").

They also incorporate the Privacy Policy, Cookies Policy, Data Processing Addendum, and Terms of Third-Party Integration (collectively, the "Terms").

By clicking "Accept", creating an account, or using any part of the Services, you acknowledge that you have read, understood, and agreed to these Terms on behalf of yourself or any entity you represent (the "Customer").

If you do not agree with these Terms, you must immediately stop using the Services.

We may update these Terms periodically. Updates will be posted on our website, and continued use of the Services constitutes acceptance of the revised Terms.

• To use the Services, you must meet the minimum age permitted for digital services under the laws of your country.
• You agree to provide accurate, current, and complete account information and keep your details updated.
• We may use this information to contact you, including notifying you of account, billing, or security matters.

3. Use of Your Account

Karma Tab grants you a non-exclusive, non-transferable, revocable license to use the Services in connection with your business.

You are responsible for:

• All activity occurring under your account
• Maintaining the confidentiality of your login credentials
• Ensuring Authorised Users comply with these Terms
• Revoking or modifying Authorised User access when appropriate

If you are an Authorised User, you must ensure you have the Customer's consent to access their account or data. In case of disputes between Customer and Authorised Users, the Customer's decision prevails. Karma Tab will act only on instructions from the Customer.

5. Fees and Taxes

Fees for the Services are listed on our Website or in exclusive pricing plans. By using paid Services, you agree that:

• Fees may be updated with 14 days' advance notice
• Fees are charged in advance, monthly or annually
• Fees are non-refundable
• A valid payment method must be maintained
• You are responsible for all applicable taxes
• If tax must be withheld, you must gross-up the Fees
• Bank fees or FX costs are your responsibility
• Billing auto-renews until cancelled

6. Upgrades and Downgrades

• You may change your plan at any time
• Upgrades apply immediately and prorated charges will apply
• Downgrades take effect immediately; no refunds will be provided
• Downgrading may result in loss of features or data. Karma Tab is not liable for such loss

7. Plan Limits & Reasonable Use

Your plan may include limits on:

• Stores, devices, or employees
• Transactions, storage, bandwidth
• Item count, customer count, or API calls

We may:

• Require you to upgrade if you exceed limits
• Restrict usage that degrades system performance
• Impose limits on unreasonable or abusive usage

8. Warranties Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE PROVIDE NO WARRANTIES OF ANY KIND, INCLUDING:

• Uninterrupted or error-free operation
• Accuracy or reliability of results
• Suitability for a particular purpose
• Quality of products sold by Merchants using the Services

We may modify or discontinue features at any time.

9. Liability Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT KARMA TAB IS NOT LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• Unauthorised access to your data
• Actions of third-party service providers
• Reliance on results generated by the Services

Your sole remedy is to stop using the Services.

10. Your Responsibility & Indemnity

You are responsible for all activities done through your account.

You agree to indemnify and hold harmless Karma Tab from any claims, losses, damages, or expenses arising from:

• Your use of the Services
• Breach of these Terms
• Violations of law or third-party rights
• Misuse by Authorised Users

11. Prohibited Use

You must NOT:

• Use the Services illegally or fraudulently
• Infringe intellectual property rights
• Transmit defamatory or offensive content
• Compromise system security
• Harvest or scrape data
• Use bots to create accounts
• Share other users' information without consent
• Use offensive, discriminatory, or obscene labels
• Process Sensitive Data unless legally permitted
• Violate GDPR, PDPO, CCPA, or any privacy laws

12. Intellectual Property

All rights in the Services belong to Karma Tab Holdings Limited.

You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile code
• Sell, sublicense, or transfer the Services
• Misuse trademarks or copyrighted content

Content posted by you must be lawfully licensed.

Karma Tab implements technical and organisational measures to protect your data.

You are responsible for:

• Complying with applicable data protection laws
• Obtaining necessary consents from your employees or customers
• Not submitting Sensitive Data
• Ensuring lawful transfer of customer data to Karma Tab

If GDPR applies, you may execute our Data Processing Addendum (DPA).

14. Data Deletion

Upon cancellation or termination:

• Your data will be deleted after 30 days, unless retention is required by law
• Until deletion, data will be securely isolated and not further processed

15. Third-Party Services

We may integrate with third-party services. Your use of such integrations is subject to their own terms. Karma Tab is not responsible for third-party failures or damages.

16. Governing Law

These Terms are governed by the laws of Hong Kong SAR. You submit to the exclusive jurisdiction of Hong Kong courts.

17. General Terms

• Failure to enforce a right does not constitute a waiver
• Each clause stands independently; unlawful clauses do not affect others
• You may not assign these Terms without our consent
• The Services are for business users only, not consumers
